1. Acceptance of Terms

By accessing or using the website DistroPrep.com (the "Service") and its related software applications, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you ("User," "You") and LMX Enterprises, LLC ("Company," "We," "Us").

If you do not agree to these Terms, do not access or use the Service.

2. Description of Service

DistroPrep is a pre-distribution utility designed to prepare audio files, metadata, and visual assets for digital release.

  • We are NOT a Distributor: DistroPrep does not upload your music to Spotify, Apple Music, or any other Digital Service Provider (DSP). We simply format your files to meet their specifications.
  • No Guarantee of Acceptance: While our tools (such as Loudness Normalization and True Peak limiting) are designed to meet industry standards, we do not guarantee that a distributor or DSP will accept your content. Rejections based on copyright, sample clearance, or editorial policies are outside our control.
  • File Processing: The Service processes your files on our servers. You acknowledge that our system may temporarily store your files during processing, after which they are deleted according to our data retention policy.

3. User Accounts

To access certain features, you must register for an account.

  • Eligibility: You must be at least 18 years old or have the permission of a legal guardian to use this Service.
  • Security: You are responsible for maintaining the confidentiality of your login credentials. You are fully responsible for all activities that occur under your account.
  • Accuracy: You agree to provide accurate, current, and complete information during the registration process.

4. Subscriptions and Payments

DistroPrep offers Free and Paid subscription tiers ("Artist" and "Label").

  • Billing: Paid subscriptions are billed in advance on a recurring monthly or yearly basis via our third-party payment processor (Stripe).
  • Immediate Payment: Payment is due immediately upon selecting a paid tier. We do not offer free trials for paid tiers due to the high-cost nature of server-side batch processing.
  • Cancellation: You may cancel your subscription at any time via your Account Dashboard. Your access to paid features will continue until the end of your current billing period.
  • Refund Policy: Due to the nature of digital file processing and the immediate costs incurred by our servers (GPU/CPU usage for video and audio rendering), all sales are final and non-refundable, except where required by law.

5. User Content and Intellectual Property

  • Your Ownership: You retain full ownership and copyright of all audio, images, and metadata you upload to DistroPrep. We claim no ownership rights over your music.
  • License to Process: By uploading content, you grant us a limited, non-exclusive, royalty-free license to copy, modify (e.g., normalize, convert format), and process your content solely for the purpose of providing the Service to you.
  • Generated Assets: You own the rights to any output files (such as converted WAVs or generated MP4 videos) created by the Service using your content.

6. "Authenticity Boost" and Audio Modification

The Service includes a feature labeled "Authenticity Boost" (or "Naturalizer").

  • Modification Acknowledgment: You understand that enabling this feature will alter your audio file by injecting noise floors and/or applying pitch and speed variances.
  • No Guarantee of Evasion: This feature is provided "as is." We make no representations or warranties that using this feature will prevent your content from being flagged by Content ID systems, AI detection algorithms, or copyright filters used by third-party platforms.

7. Prohibited Conduct

You agree not to use the Service to:

  1. Upload content that contains malware, viruses, or malicious code.
  2. Upload content that violates the intellectual property rights of others (e.g., pirated music).
  3. Attempt to reverse engineer, decompile, or extract the source code of the Service (including our React frontend or Python backend).
  4. Resell, sublicense, or redistribute the Service or its API without our express written permission.

8. Termination

We reserve the right to suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LMX ENTERPRISES, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

IN NO EVENT SHALL LMX ENTERPRISES, LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Illinois.
